Terms of use

These Terms are a legal agreement. They are not legal advice about your own tenancy. Ask a lawyer about your situation.

These Terms of use ("Terms") are a legal agreement between you and TeslanSoft ("TeslanSoft", "we", "us", "our"), a company based in British Columbia, Canada. They govern your use of Keystead, our rental property management product, and the Keystead website (together, the "Service").

By creating an account or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

1. What Keystead is

Keystead is a rental property management product. It helps you keep track of properties and units, tenants, leases and lease renewals, rent schedules, addresses for service, prospect applications, vacancies and listing text, and expenses. Features may change over time, and some features may not be available to everyone.

2. Accounts

Eligibility. You must be at least 19 years old (the age of majority in British Columbia) and have the legal authority to enter into these Terms. If you sign up for a business or organization, you confirm you can bind it, and "you" includes that business or organization.

Approval. New accounts may be held until we approve them before you can sign in. We decide at our discretion whether to approve, decline, or remove an account.

Accurate information. Give us accurate information when you sign up and keep it up to date.

Security. You are responsible for keeping your password private and for everything that happens under your account. Tell us promptly at support@teslansoft.com if you think your account has been accessed without your permission.

One account per person. Do not share your login with others or create accounts on someone else's behalf without their permission.

3. Your authority over properties

You may use Keystead to manage properties you own or are authorized to manage. You confirm that you have the authority to manage each property you add, including the authority to enter tenant and applicant information, prepare leases, and advertise vacancies.

4. Your content

You own it. You keep ownership of the property, tenant, applicant, lease, and financial information and any other material you enter into Keystead ("Content"). We do not claim ownership of it.

Our permission to use it. You give TeslanSoft a limited, non-exclusive, royalty-free permission to store, process, display, and transmit your Content only as needed to run, secure, and improve Keystead for you. We do not sell your Content. We may use aggregated, de-identified information about how the Service is used to improve it, in a way that does not identify you, your tenants, or your applicants.

Personal information about others. You are responsible for making sure you have the right to enter any personal information about tenants and applicants, and that you collect and use it in line with applicable privacy law, including the Personal Information Protection Act (British Columbia) and, where it applies, PIPEDA. For personal information about tenants and applicants that you enter into Keystead, you decide why and how it is used and we process it on your behalf. Where data is stored. Your Content is hosted in Canada and the United States. See our Privacy Policy for details.

5. Documents and notices are your responsibility

Keystead fills in documents, such as a tenancy agreement, from the information you enter. Where a notice feature is available, it works the same way.

  • Check every document and notice before you rely on it or give it to anyone.
  • Keystead does not review your tenancy, document, or notice for legal sufficiency, and does not check that it fits your situation.
  • Tenancy rules vary by province and change over time. You are responsible for making sure the documents you use, the information in them, and the way you deliver them meet the requirements that apply to you.
  • Nothing in Keystead or on this site is legal, tax, or accounting advice. Ask a lawyer or other qualified professional about your own situation.

6. Applicants and fair treatment

If you use Keystead to receive or review applications, you agree to:

  • tell applicants how their information will be used and get any consent the law requires before you collect it;
  • use applicant information only to assess their application for the vacancy in question; and
  • not use Keystead to discriminate against any applicant or tenant on any ground protected by the Human Rights Code (British Columbia) or other applicable law.

You alone make tenancy decisions. Keystead is a record-keeping and document tool and does not make or recommend those decisions.

7. Acceptable use

You agree not to:

  • use Keystead for anything unlawful, or in a way that breaks any law or the rights of others;
  • enter false, misleading, or fraudulent information;
  • try to access other people's accounts or data, or our systems, without permission;
  • interfere with, overload, or disrupt the Service, or probe or test its security;
  • upload malware or other harmful code;
  • use bots, scrapers, or other automated tools to access or extract data from the Service;
  • copy, modify, reverse engineer, or resell any part of the Service; or
  • use Keystead to harass, defame, or harm anyone.

8. Fees

Keystead is currently provided at no charge. If we introduce fees, we will tell you in advance, give you at least 30 days' notice by email before any charge applies to you, and you will not be charged for a paid plan unless you agree to it.

9. Our property

Keystead, including its name, logo, software, design, and everything we create, belongs to TeslanSoft or its licensors and is protected by law. We give you a limited, non-exclusive, non-transferable, revocable right to use the Service for your own rental management, and only as these Terms allow. If you send us feedback or suggestions, we may use them without restriction or payment.

10. Availability and changes to the Service

We work to keep Keystead available, but we do not promise that it will always be uninterrupted or error-free. We may change, suspend, or discontinue features. For a material change that affects how you use the Service, we will give you reasonable notice. We recommend that you keep your own copies of documents and records that matter to you.

11. Suspension and termination

By you. You can stop using Keystead and ask us to close your account at any time by contacting support@teslansoft.com.

By us. We may suspend or end your access immediately if you breach these Terms, if your use creates a security or legal risk, or if the law requires it. We may also end the Service or your access for any other reason with 30 days' notice.

What happens to your data. After your account ends, we will give you at least 30 days to request a copy of your Content before we delete it, except where we must keep information to meet legal obligations or resolve disputes. See our Privacy Policy for how long we keep information.

Sections that by their nature should continue after termination, including sections 4, 5, 9, 12, 13, 14, and 15, will continue.

12. Disclaimer of warranties

To the maximum extent permitted by law, the Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not promise that documents generated by Keystead are accurate, complete, or legally sufficient, or that using Keystead will lead to any particular result.

13. Limitation of liability

To the maximum extent permitted by law:

  • TeslanSoft is not liable for indirect, incidental, special, consequential, or punitive losses, including lost rent, lost profits, lost tenants or applicants, loss of data, or the cost of replacement services, arising from your use of the Service.
  • TeslanSoft is not liable for losses arising from a document or notice you generated, relied on, or delivered without checking it, or from your tenancy decisions or practices.
  • TeslanSoft's total liability to you for all claims relating to the Service will not exceed the greater of the amount you paid us in the 12 months before the claim and CAD $100.

These limits do not apply to liability that cannot be excluded or limited by law, including for fraud or willful misconduct.

14. Indemnity

You agree to defend and indemnify TeslanSoft and its officers, employees, and agents against claims, losses, and expenses (including reasonable legal fees) arising from your Content, your use of the Service, your breach of these Terms, your breach of applicable law (including privacy, tenancy, and human rights law), or your tenancy decisions.

15. Governing law and disputes

These Terms are governed by the laws of British Columbia and the federal laws of Canada that apply there, without regard to conflict of law rules. You agree that the courts of British Columbia have non-exclusive jurisdiction over any dispute about these Terms or the Service. Before starting a proceeding, each of us will make a good-faith effort to resolve the dispute by written notice and discussion for at least 30 days. This does not stop either of us from seeking urgent relief or from using small claims court.

16. Changes to these Terms

We may update these Terms from time to time. We will post the updated Terms with a new effective date, and for material changes we will notify you by email at least 14 days before they take effect. If you keep using the Service after that date, you accept the updated Terms.

17. General

  • Entire agreement. These Terms and the Privacy Policy are the whole agreement between you and TeslanSoft about the Service.
  • Severability. If a part of these Terms is found unenforceable, the rest still applies.
  • No waiver. If we do not enforce a right right away, we have not given it up.
  • Assignment. You may not transfer these Terms without our written consent. We may transfer them as part of a merger, acquisition, or sale of our business.
  • Electronic communications. You agree that we can send you notices and Service messages electronically, including by email to the address on your account.
  • Beyond our control. We are not responsible for delays or failures caused by events outside our reasonable control, including outages of internet or hosting providers.
  • Headings. Headings are for convenience only.
